Amber Enterprises' material subsidiary ILJIN Electronics (India) has signed a Share Purchase Agreement and Shareholders' Agreement to acquire about 40.24% of Unitronics (1989) (R"G) Ltd., an Israeli industrial automation company publicly traded on the Tel Aviv Stock Exchange since 2004. Combined with co-investor Mr. Haim Shani, ILJIN will hold around 45.13%, giving it controlling stake and making Unitronics a subsidiary of ILJIN. The deal involves buying 5,624,591 shares at NIS 27.75 per share for an aggregate price of about NIS 156 million (~₹370+ crore equivalent), entirely in cash, with completion targeted within 60 business days. Unitronics makes PLCs, HMIs, VFDs, servo drives, IIoT and SaaS solutions with 2024 revenue of NIS 192 million. Amber says the move fits its Electronic Division strategy to expand into industrial applications, localize manufacturing and tap US and European markets riding Industry 4.0 demand.
Strategic diversification for Amber beyond its core AC and components business into high-growth industrial automation with global footprint. Since the acquisition is executed at the subsidiary level, direct cash outflow from Amber is limited, but financials of Unitronics will consolidate into ILJIN going forward. Investors should watch for deal completion timeline, revenue contribution, and any further stake build-up post-acquisition.
