Amber Enterprises' material subsidiary ILJIN Electronics has signed a Share Purchase Agreement and Shareholders' Agreement on July 27, 2025, to acquire approximately 40.24% of Israeli industrial automation company Unitronics (1989) R"G Ltd., which is listed on the Tel Aviv Stock Exchange. The deal covers 5,624,591 shares at NIS 27.75 per share, totalling about NIS 156 million (~₹360+ crore) in all-cash consideration. Combined with co-investor Mr. Haim Shani, ILJIN will hold around 45.13% controlling stake, making Unitronics a subsidiary of ILJIN. Unitronics manufactures PLCs, HMIs, VFDs, Servo Drives, and IIoT products, and posted revenue of about NIS 192 million in 2024. The transaction needs no regulatory approvals and is expected to close within 60 business days. The move fits Amber's electronics division strategy to tap into industrial automation, Industry 4.0, and global markets like the US and Europe.
This is a sizeable, all-cash overseas acquisition by Amber's material subsidiary, which will expand the group into the industrial automation space and provide global market access. Shareholders should expect a meaningful impact on consolidated financials once the deal closes, and the stock may react positively given the growth angle, though the foreign-currency deal and integration risks warrant monitoring.
