Apollo Hospitals has informed the exchange about a Composite Scheme of Arrangement involving itself (as Demerged Company), Apollo Healthco Limited, Keimed Private Limited, and Apollo Healthtech Limited (as Resultant Company). The NCLT Chennai Bench has ordered meetings of secured creditors, unsecured creditors, and equity shareholders to be held on June 24, 2026 to consider and vote on the scheme. Voting will commence from June 20, 2026 through remote e-voting. The scheme requires approval by a 3/4 majority in value of creditors and shareholders. Public shareholders' approval (separate majority of votes in favour vs against) is also mandated per SEBI regulations. If approved at these meetings, the scheme will be subject to subsequent NCLT sanction.
The demerger of healthcare-related businesses into a separate entity (Apollo Healthtech Limited) represents a significant corporate restructuring. Shareholders should monitor the demerger ratio and specific business transfer terms, which will determine the value impact on Apollo Hospitals stock.
