Apollo Hospitals Enterprise Limited has called a meeting of its secured creditors on June 24, 2026 to approve a composite scheme of arrangement. The scheme involves: (1) demerger of the Identified Business Undertaking from Apollo Hospitals into Apollo Healthtech Limited (Resultant Company), (2) amalgamation of Apollo Healthco Limited (Transferor Company 1) into the Resultant Company, and (3) amalgamation of Keimed Private Limited (Transferor Company 2) into the Resultant Company. Upon completion, the Resultant Company will be renamed 'Apollo Healthco Limited' and listed on the stock exchanges. Voting by secured creditors will take place via remote e-voting from June 20-23, 2026. The scheme has received observation letters from both BSE and NSE dated December 2025.
For shareholders, this represents a structural reorganization where Apollo Hospitals is spinning off its identified business into a separate listed entity. Existing Apollo Hospitals shareholders will receive shares in the new listed entity as per the demerger share entitlement ratio, while investors in Transferor Companies will also receive Resultant Company shares. The move may create shareholder value by separating different business segments.
