Apollo Hospitals has informed the exchanges that the Competition Commission of India (CCI) has approved the company's proposed composite scheme of arrangement, originally approved by its board on June 30, 2025. The scheme involves the restructuring of Apollo Hospitals, Apollo Healthco Limited (Transferor Company 1), Keimed Private Limited (Transferor Company 2), and Apollo Healthtech Limited (the Resultant Company), under Sections 230-232 of the Companies Act, 2013. The CCI cleared the combination on September 23, 2025 under Section 31(1) of the Competition Act, 2002, following the notice filed on July 30, 2025. A certified copy of the CCI order is awaited. The scheme still requires other statutory and regulatory approvals, including NCLT sanction, before it can become effective.
This is a positive regulatory milestone for Apollo Hospitals' restructuring plan, bringing the demerger/reorganisation of its healthco and pharmacy businesses into a separate entity (Apollo Healthtech) one step closer to completion.
