Apollo Hospitals Enterprise Limited has called a meeting of its unsecured creditors on June 24, 2026, to approve a composite scheme of arrangement. The scheme involves: (1) demerger of the Identified Business Undertaking from Apollo Hospitals into Apollo Healthtech Limited (Resultant Company), (2) amalgamation of Apollo Healthco Limited (Transferor Company 1) into the Resultant Company, and (3) amalgamation of Keimed Private Limited (Transferor Company 2) into the Resultant Company. The Resultant Company will be renamed 'Apollo Healthco Limited' and its equity shares will be listed on the stock exchanges. Unsecured creditors as of December 31, 2025, can vote via remote e-voting from June 20-23, 2026, or at the meeting. The scheme requires approval by 3/4th majority in value of unsecured creditors and subsequent NCLT sanction.
Shareholders of Apollo Hospitals may receive shares in the Resultant Company (Apollo Healthco Limited) upon demerger approval. The listing of the Resultant Company creates a new investment opportunity for Apollo group healthcare tech assets while keeping the hospital business with Apollo Hospitals.
