Apollo Hospitals Enterprise Ltd has issued notice for an NCLT Chennai-convened meeting of its secured creditors to be held on June 24, 2026 at 10:00 AM via video conferencing. The purpose is to consider and approve a composite scheme of arrangement involving: (a) demerger of an 'Identified Business Undertaking' from Apollo Hospitals into a newly formed listed entity Apollo Healthtech Limited (Resultant Company), (b) merger of Apollo Healthco Limited into the Resultant Company, and (c) merger of Keimed Private Limited into the Resultant Company. Share entitlement ratios for the demerger and both mergers have been recommended by KPMG Valuation Services LLP and BDO Valuation Advisory LLP (joint report dated June 27, 2025), with a fairness opinion from Axis Capital Limited. BSE and NSE have already issued their observation letters on the scheme in December 2025, and the scheme was filed with the Registrar of Companies on April 15, 2026. The Resultant Company will be renamed 'Apollo Healthco Limited' and its shares will be listed on the stock exchanges.
This is a procedural but important step in Apollo Hospitals' restructuring into two listed entities (hospitals and healthco/digital health). For shareholders, approval by secured creditors moves the scheme closer to completion, after which AHEL shareholders are expected to receive shares in the new listed entity.
