Appointment and Resignation of Directors

Eros International Media announced board changes effective December 12, 2025. Two new directors were appointed: Mr. Anand Shankar Kamtam (age 57) as Additional Director, who has been with the Eros Group since 2002 and served as Group Financial Controller (India); and Mr. Vijay Gulab Chand (age 58) as Additional Non-Executive Non-Independent Director, who has been a Director of Eros Worldwide FZE since 2018 and oversees overseas operations. Both appointments are subject to shareholder approval at the next AGM. Separately, Mr. Sagar S. Sadhwani resigned as Non-Executive Non-Independent Director citing personal reasons and other commitments, with no material reasons behind the exit. None of the incoming directors are related to existing promoters or KMPs, and neither has been debarred by SEBI.
