KMP — Key Managerial Personnel

Key managerial personnel (KMP) are the senior officers a company is legally accountable through: the managing director or CEO, whole-time directors, the chief financial officer and the company secretary, plus any other officer the board designates.

The Companies Act, 2013 (Section 2(51) and Section 203) defines KMP and requires larger companies to appoint them. SEBI's LODR Regulation 30 requires appointments, resignations and cessations of KMP to be disclosed to the exchanges promptly, and a resignation filing must carry the reasons the person has given.

Most KMP changes are routine — a company secretary moving jobs, a planned CEO succession. The filings investors read carefully are unexpected exits of a CFO or CEO, especially close to results, or several senior exits in a short period.

When a CFO resigns, look at the stated reason, the timing relative to the audit, and whether a successor is named. A vague reason and no successor tell you more than the resignation itself.
