The scheme, approved by NCLT Mumbai on March 16, 2026, involves the demerger of Filmistan's rental business (tenancy rights over land at Pahadi, Goregaon West, along with structures and equipment) into Arkade Developers. The appointed date is August 1, 2025. Both companies have filed E-Form INC-28 with the ROC on March 25, 2026, making the scheme effective. Since Filmistan is wholly owned by Arkade, no new shares will be issued — it is treated as an internal group reorganization. The rationale is to consolidate the rental/leasehold business with Arkade's existing land ownership for operational efficiency.
