Arvind Fashions' wholly owned subsidiary ALBL invested about Rs 50 crore (Rs 49,99,99,990) in Arvind Youth Brands (AYBPL), which runs the Flying Machine brand. ALBL subscribed to 1.82 crore equity shares at Rs 27.44 each on a preferential basis. ALBL's stake in AYBPL rises from 60.40% to 65.91%, while Arvind Fashions' direct holding drops from 39.60% to 34.09%. Total group holding stays at 100%. AYBPL's FY26 turnover was Rs 404.75 Cr, down from Rs 458.24 Cr in FY24, showing a declining trend. The deal is a related party transaction at arm's length per a KPMG valuation.
Internal group capital restructuring with no change in overall control. Flying Machine revenues declining three years running, so investors should watch brand turnaround progress.
