The Hon'ble National Company Law Tribunal (NCLT), Kolkata Bench has sanctioned the Composite Scheme of Amalgamation involving three entities. First, Ashika Commodities & Derivatives Private Limited (ACDPL) will merge into Ashika Global Securities Private Limited (AGSPL). Then AGSPL will merge into Ashika Credit Capital Limited (ACCL), making ACCL the amalgamated company. The scheme will become effective once the certified copy of the NCLT order is filed with the Registrar of Companies. This is a multi-step vertical amalgamation consolidating the group structure.
Shareholders of ACCL should note that the company structure will change as the subsidiaries merge upward. The effective date is pending, and shareholders will be notified once the filing with ROC is completed.
