NCLT Kolkata Bench has sanctioned the Scheme of Amalgamation of Yaduka Financial Services Ltd (Transferor) into Ashika Credit Capital Ltd (Transferee), effective from the appointed date of 1st October 2024. The order was pronounced on 4th November 2025 and disclosed to BSE on 6th November 2025. Under the scheme, shareholders of Yaduka will receive 1,445 equity shares of Ashika (face value Rs 10 each) for every 1,000 shares held in Yaduka. Both companies are RBI-registered NBFCs engaged in investment and financing activities, and the merger is expected to create synergies, reduce overheads, and improve financial strength. Equity shareholders of Ashika overwhelmingly approved the scheme at the 16th August 2025 meeting, with 113 shareholders holding 2,55,69,180 shares voting in favor versus only 9 shareholders holding 538 shares against. RBI had granted its No Objection, and BSE had issued no adverse observations on the scheme.
Post effective date, Yaduka Financial Services will stand dissolved and its assets, liabilities, and ongoing legal proceedings will transfer to Ashika Credit Capital. Yaduka shareholders will become shareholders of the listed entity Ashika per the swap ratio, potentially expanding the public float of Ashika shares.
