Aspira Pathlab & Diagnostics Ltd has informed BSE about a Detailed Public Statement dated October 6, 2025 for an Open Offer to public shareholders. The offer is being made by promoter family members — Mr. Arvind Karsandas Bhanushali, Mrs. Deepali Arvind Bhanushali (couple), their sons Mr. Jay and Mr. Raj Bhanushali, along with Executive Director Mr. Nikunj Velji Mange and his wife Mrs. Shraddha Mange (PAC), to acquire 26,76,180 equity shares (26% of voting capital) at Rs. 55 per share, totaling Rs. 14.72 crore. The acquirers currently hold 23.82% and will reach 49.82% post-offer (if fully subscribed). The offer is triggered under SEBI Takeover Regulations to consolidate promoter holding. Tendering period is November 24 – December 5, 2025, with payment by December 19, 2025. The Acquirers' family members were previously incorrectly classified as public shareholders.
The open offer gives public shareholders an opportunity to exit at Rs. 55/share, a price significantly above the registered valuer's assessed fair value of Rs. 20.16. Post-offer, the promoter group will hold nearly 50% of the company, increasing their control and reducing public float. Existing public investors should evaluate whether to tender shares given the wide gap between offer price and fair value, while minority shareholders may face reduced liquidity going forward.
