Aster DM Healthcare is merging with QualityCare India under an NCLT-sanctioned scheme (ordered 19 June 2026). BCP Asia II Topco IV will be classified as promoter of the merged entity Aster Quality Care, allotted 24.49 crore equity shares of INR 10, taking its stake from 2.69% to 29.71%. Swap ratio is 977 Aster shares for every 1,000 QualityCare shares held. BCP is exempt from making an open offer under Regulation 10(1)(d)(i) of SAST Regulations.
No open offer obligation, so shareholders miss a tender exit. Swap ratio of 977:1000 fixed; NCLT-backed consolidation to proceed on scheme terms.
