Authum Investment & Infrastructure Limited has signed a 1st Supplemental Agreement on May 13, 2025, revising its earlier deal to acquire a controlling stake in India SME Asset Reconstruction Company Limited (ISARC). The revised deal involves a primary investment of Rs. 193.18 crore at Rs. 14.86 per share (for 56.52% voting rights) plus a secondary purchase of Rs. 119.32 crore at Rs. 16.29 per share (for 31.85% voting rights), taking the total commitment to Rs. 312.50 crore for 88.37% of ISARC's voting rights. PNB, an existing sponsor, will now also sell its 2.09 crore shares as part of the secondary purchase. ISARC, incorporated in 2008, is an RBI-registered asset reconstruction company with a net worth of Rs. 129.68 crore and turnover of Rs. 2.47 crore (FY24). RBI approvals for change in sponsor and director appointments have been received, and the deal's long stop date has been extended to July 31, 2025, after which ISARC will become a subsidiary of Authum.
This acquisition significantly expands Authum's footprint into the asset reconstruction business, creating a dedicated platform for distressed asset turnaround, particularly in the MSME segment. The sizeable Rs. 312.50 crore investment will be funded through cash and will consolidate ISARC as a subsidiary, which could be a long-term strategic positive but also represents a large capital deployment that may be closely watched by investors.
