Authum Investment & Infrastructure has signed a binding agreement on July 11, 2025 to acquire stakes in two companies as part of settling outstanding obligations owed to it. It will acquire 18 lakh equity shares (14.96%) of BSE-listed Kerala Ayurveda Limited at Rs. 558.65 per share, along with 27 lakh shares (11.59%) of Bengaluru-based Katra Phytochem and subscribe to 1.15 crore fresh shares of Katra Phytochem at Rs. 171.50 per share. Post-transaction, Authum will hold about 60.95% in Katra Phytochem, making it a subsidiary. Kerala Ayurveda reported FY25 turnover of Rs. 122.15 crore and net worth of Rs. 12.89 crore, while Katra Phytochem posted turnover of Rs. 138.28 crore and net worth of Rs. 116.50 crore. No cash is being paid — the deals are structured as debt-to-equity settlements, and no regulatory approvals are required. Completion is targeted within three months.
This move turns Katra Phytochem into a subsidiary of Authum and gives it a strategic stake in Kerala Ayurveda, expanding its footprint into Ayurveda wellness and nutraceuticals. For shareholders, this signals asset creation through debt conversion rather than cash outflow, which could be value-accretive if the acquired businesses perform well, though it also broadens Authum's business mix beyond pure investment activities.
