Infibeam Avenues has completed the transfer of its Platform Business Undertaking to its subsidiary Rediff.com India Limited via a slump sale, a deal first approved at the August 8, 2025 board meeting. Shareholders approved the transaction on September 29, 2025, and it was completed the next day, September 30, 2025. As a result, Infibeam's stake in Rediff has risen to 82.66%, and its earlier investment in Infibeam Projects Management Private Limited (IPMPL) has been transferred to Rediff, making IPMPL a wholly owned subsidiary of Rediff and a step-down subsidiary of Infibeam. IPMPL contributed just Rs. 117.45 Mn (0.29%) to FY25 turnover but had a net worth of Rs. 1,217.94 Mn (3.17%). The transaction is classified as a related-party deal, executed at arm's length and outside any scheme of arrangement.
This is a completed internal restructuring rather than a cash exit — the platform business now sits under Rediff, in which Infibeam retains a controlling 82.66% stake, so long-term value stays within the group. The financial impact is small on revenue but notable on the balance sheet, and investors should track Rediff's standalone performance going forward since that is where the platform business now resides.
