The Board of B&A Packaging India met on May 23, 2025 and approved several items. Mr. Dipankar Mukherjee, an existing Non-Executive Independent Director, was appointed as the new Chairman of the Board. The company appointed M/s. Salarpuria & Partners as new Statutory Auditors for a 5-year term (FY 2025-26 to FY 2029-30), replacing M/s. SBA Associates whose term has ended, and M/s. T. Chatterjee & Associates as Secretarial Auditors for the same 5-year period. Audited FY25 results show revenue from operations of Rs. 13,099.13 lakhs (up modestly from Rs. 12,879.18 lakhs last year), but profit after tax declined to Rs. 983.06 lakhs from Rs. 1,144.85 lakhs, with EPS at Rs. 19.82 vs Rs. 23.08. The auditor issued an un-modified opinion. A final dividend of Re. 1 per share (face value Rs. 10) was recommended, and the 39th AGM is set for July 23, 2025.
Routine governance update — auditor change is due to completion of the previous auditor's term, not a mid-term resignation, so no governance concerns are signalled. The decline in profits despite stable revenue may draw investor attention, but the dividend declaration and new leadership at the Board level are mildly positive signals for stability.
