Paytm's board approved Q2 FY26 consolidated revenue of ₹2,061 crores, up about 24% year-on-year from ₹1,659 crores, with a small consolidated profit of ₹21 crores versus ₹930 crores in Q2 FY25 (which included a one-time ₹1,345 crores gain from the Zomato movie-ticketing sale). The company will invest up to ₹2,250 crores in its wholly-owned subsidiary Paytm Payments Services Limited (PPSL) through a rights issue, primarily to fund the acquisition of the offline merchant payment business and strengthen PPSL's net worth. PPSL has received in-principal RBI authorization (August 12, 2025) to operate as a Payment Aggregator after earlier restrictions. Ms. Manisha Raj Raisinghani was appointed as Non-Executive Independent Director for five years, and Paytm recorded a ₹190 crores impairment on its gaming joint venture (First Games Technology) following the new Online Gaming Act 2025.
The ₹2,250 cr infusion into PPSL marks a clear capital commitment to expand the offline merchant payments business now that RBI clearance has come through, which is a positive strategic signal. Strong revenue growth and a return to operating profitability (ex-exceptional items) are encouraging, though the gaming JV write-off and the pending FEMA show cause notice (₹611 crores alleged contraventions) remain near-term overhangs for shareholders.
