VIP Industries has informed the stock exchanges that the Competition Commission of India (CCI) has approved the proposed change of control of the company. This is a follow-up to the July 13, 2025 disclosure, under which certain promoter group members agreed to sell up to 4,54,46,305 equity shares to certain buyers under a Share Purchase Agreement. The deal also involves a shareholders' agreement and a change in management and control, which will trigger an open offer. The transaction is still subject to other conditions precedent under the SPA.
The CCI clearance removes a key regulatory hurdle for the change of control and open offer process. Shareholders should watch for the open offer details and the satisfaction of remaining conditions before the deal closes.
