Bajaj Finance's board declared a Special Interim Dividend of Rs. 12 per share, funded by a Rs. 2,544 crore exceptional gain from selling its stake in Bajaj Housing Finance during BHFL's IPO in September 2024. A Final Dividend of Rs. 44 per share (up from Rs. 36 last year) was also recommended, subject to shareholder approval, taking total dividends to Rs. 56 per share. The board also approved a stock split (1 share of Rs. 2 face value into 2 shares of Rs. 1 each) and a 4:1 bonus issue, both subject to postal ballot approval. Standalone Q4 FY25 PAT rose to Rs. 3,940 crore (vs Rs. 3,402 crore YoY) and full-year PAT grew to Rs. 16,662 crore (vs Rs. 12,644 crore). All corporate actions are expected to be completed by June 27, 2025, and the AGM is scheduled for July 24, 2025.
Very positive for shareholders — a combined Rs. 56/share dividend, a 4:1 bonus, and a 1:2 stock split will substantially increase share count (effective 5x) and lower per-share price, boosting retail participation and liquidity. The combination of strong earnings growth and exceptional rewards typically drives short-term sentiment positively.
