Balgopal Commercial's board approved the unaudited standalone and consolidated financial results for Q3 FY26 (quarter ended 31 Dec 2025), alongside several management changes. On a standalone basis, the company swung to a profit of about Rs 58.71 lakh in Q3 FY26 from a loss of Rs 26.80 lakh a year ago, with total income rising to Rs 56.40 lakh from Rs 34.27 lakh; for 9M FY26 standalone profit was Rs 2.10 crore versus Rs 10.71 crore last year. Mrs. Shrena Kalpesh Shah resigned as Non-Executive Independent Director and Chairperson citing increased professional commitments. Mrs. Rashmi Bihani, a Chartered Accountant with over 10 years of experience, was appointed as Additional Non-Executive Independent Director for 5 years, subject to shareholder approval. Mr. Vijay Laltaprasad Yadav, the Managing Director and promoter, was additionally appointed as Chairperson of the Board, combining the MD and Chair roles. Committees (Audit, NRC, SRC) were reconstituted, and RPS & Associates was appointed as Internal Auditor for FY26.
Combining the Managing Director and Chairperson roles in the promoter raises a corporate governance flag, even though compliance with listing rules is technically maintained for now. For investors, profitability in the quarter improved sharply year-on-year, but the 9-month FY26 standalone profit has dropped sharply versus last year, signalling uneven performance worth monitoring.
