BASF India's board has approved a Scheme of Arrangement to demerge its Agricultural Solutions Business into its wholly-owned subsidiary, BASF Agricultural Solutions India Limited, which will become a separately listed entity on BSE and NSE. The Agricultural Solutions Business reported a turnover of Rs. 20,647.3 million in FY25, contributing 13.6% of BASF India's total turnover. Shareholders will receive 1 equity share of the resulting company (face value Rs. 10) for every 1 share held in BASF India (face value Rs. 10) on the record date, with no cash consideration involved. The transaction is part of parent BASF SE's global corporate strategy to legally separate and independently operate its agricultural solutions business. The scheme requires further approvals from NCLT, SEBI, stock exchanges, shareholders, and creditors before becoming effective. The share entitlement ratio was determined based on a fair equity share entitlement report by PwC and a fairness opinion by Saffron Capital Advisors.
