BASF India has approved the sale of its entire 100% stake in wholly-owned subsidiary BASF India Coatings Private Limited to Carlyle Group entities (Bond German BidCo 2 GmbH and Bond France BidCo SAS) for INR 230.16 crore, as valued by an independent valuer. This follows the global October 2025 agreement where BASF, Carlyle, and Qatar Investment Authority struck a deal for BASF's automotive OEM coatings, refinish coatings, and surface treatment businesses. The coatings subsidiary contributed only 3.1% of consolidated revenue (INR 479.64 crore) and 5.5% of net worth (INR 199.74 crore) in FY25, and is not classified as a material subsidiary. The transaction is expected to close in Q2 2026 and is not a related-party deal.
Shareholders will see a modest cash inflow of around INR 230 crore post-closing in Q2 2026, which the company may use to reduce debt or fund core operations.
