BASF India NCLT meeting approves 1:1 demerger of agri business into BASIL

BASF India held an NCLT-convened shareholder meeting on 24 June 2026 to approve the demerger of its agricultural solutions business into a new entity, BASF Agricultural Solutions India Limited (BASIL). Under the scheme, shareholders will receive 1 BASIL share for every BASF India share held. The agri solutions business posted sales of about 1,944 crore rupees and profit before tax of about 254 crore rupees in FY 2025-26. SEBI and stock exchanges have already given no-objection letters. Share allotment is expected by March 2027, followed by listing on BSE and NSE, with the full demerger process taking around 18 to 20 months.
Each BASF India shareholder will get 1 BASIL share for every share held. BASIL to list by March 2027 as a separate pure-play agri-solutions entity on BSE and NSE.
