Belding India's Board approved a Scheme of Amalgamation to merge its wholly owned subsidiary DC&T Global Private Limited into itself via absorption. DC&T operates in data centre EPC, battery energy storage systems, and advanced manufacturing. No consideration involved as Belding holds 100 percent of DC&T; no new shares issued and no change in shareholding pattern. Subject to NCLT and other approvals. DC&T FY25-26 turnover Rs 1.20 lakh, net worth Rs 446.89 lakh; Belding consolidated net worth Rs 1048.44 lakh.
Simplifies group structure, folds DC&T's data centre and energy assets into Belding. No share dilution for shareholders. Needs NCLT approval to take effect.
