Belrise Industries has withdrawn its previously filed Scheme of Amalgamation with its wholly-owned subsidiary H-One India Private Limited from the NCLT benches. The Board decided to withdraw the scheme due to jurisdictional changes after H-One India's registered office shifted from Uttar Pradesh to Maharashtra, along with what the company calls professional and strategic realignment. The merger itself is not scrapped — Belrise plans to file a fresh joint application before the NCLT Mumbai Bench instead. A withdrawal memo was filed with the NCLT Mumbai Bench on August 28, 2025.
This is a procedural step rather than a cancellation. Since H-One is already a wholly-owned subsidiary, the financial impact on Belrise shareholders is minimal. The move may slightly delay the formal consolidation but should not affect the stock price materially.
