Bengal & Assam Company Ltd (BACL) and its subsidiary J.K. Fenner (India) Ltd (JKFIL) are together acquiring 40 lakh equity shares (6.67% stake) of Cavendish Industries Limited (CIL), a subsidiary of JK Tyre, from JK Tornel — part of BACL's promoter group. The total deal value is Rs. 130.64 Crores at Rs. 326.60 per share (BACL: 6 lakh shares for Rs. 19.60 Cr; JKFIL: 34 lakh shares for Rs. 111.04 Cr). CIL, which operates in the tyres and rubber products space with turnover of roughly Rs. 3,900 Cr, will continue to remain a subsidiary of JK Tyre after the transaction. The deal is a related-party transaction and is described as a strategic investment, since BACL is a promoter of JK Tyre. Completion is targeted by 30th November 2025.
For BACL shareholders, this is a related-party deal at a fixed price; it slightly raises BACL's indirect exposure to JK Tyre's tyre business but does not change control of CIL. The market impact is likely limited given the deal is within the promoter group and BACL's own cash outlay is only Rs. 19.60 Cr.
