Bharat Parenterals Ltd (BPL) has completed the acquisition of Varenyam Healthcare Pvt Ltd (VHPL), making it a wholly owned subsidiary. The deal was executed via a share swap where BPL issued 3,51,255 equity shares on a preferential basis in exchange for 2,50,000 equity shares of VHPL. VHPL is a domestic player in pharmaceutical formulations for Anesthesia, Critical Care and Pain Management segments, with presence in major corporate hospitals. It is expected to contribute around ₹60 crore in revenue and ₹10 crore in EBITDA for FY2025-26. This marks the final step of a strategic restructuring announced in June 2024, which also included increasing BPL's stake in Innoxel Lifesciences from 51% to 55.9% and fully acquiring Varenyam Biolifesciences Pvt Ltd.
Positive for shareholders as the acquisition expands BPL's commercial reach and product portfolio in high-value therapy areas, with meaningful revenue and EBITDA contribution expected from FY26. However, the share swap will result in slight equity dilution for existing shareholders.
