BPCL's step-down wholly owned subsidiary, BPRL Ventures Mozambique BV, will transfer its Golfinho-Atum project assets to a new entity called Moz LNG1 AssetCo Limitada as part of a consortium-wide restructuring during FY 2025-26. BPRL holds a 10% participating interest in the Mozambique Offshore Area 1 concession (held since 2008), alongside TotalEnergies as operator (26.5%), Mitsui (20%), ENH (15%), ONGC Videsh (10%), Beas Rovuma Energy (10%), and PTTEP (8.5%). The new structure creates a Moz HoldCo and AssetCo to align with standard international project financing norms, and BPCL's economic interest remains unchanged at 10%. BPRL's share of project-level costs is approximately USD 1,000 million (around Rs. 8,600 crore), and the effective date for transfer is expected by Q2 or Q3 of FY 2025-26.
This is a procedural internal restructuring of an existing overseas upstream asset, not a change in BPCL's economic interest. BPCL confirms the transaction is at fair value and not unfavourable to shareholders, so the direct impact on the stock is expected to be neutral.
