Biocon Limited's board approved buying 1,125 Optionally Convertible Debentures (OCDs) of its unlisted subsidiary Biocon Biologics Limited from Goldman Sachs for a total consideration of USD 198.50 million (about Rs. 1,675 crore at face value of Rs. 1 crore per OCD). The deal involves 1,047 OCDs from Goldman Sachs India AIF Scheme-2 and 78 OCDs from Goldman Sachs India AIF Scheme-1. These OCDs came with special rights for Goldman Sachs, including the ability to appoint directors, first right on share subscriptions, and veto power over capital structure changes at Biocon Biologics. By purchasing these instruments, Biocon is effectively buying out a key financial investor in its biologics arm. The transaction is not classified as a related-party deal.
This is a strategic positive for Biocon shareholders — it consolidates the parent company's control over Biocon Biologics (its key biosimilars growth engine), simplifies the subsidiary's cap table, and removes a financially-motivated investor's special rights. The ~$198M cash outflow may pressure near-term liquidity but should be viewed as long-term value-accretive, giving Biocon full strategic flexibility over its biologics franchise.
