Biocon Limited's board approved buying back 1,125 Optionally Convertible Debentures (OCDs) of its unlisted subsidiary Biocon Biologics Limited from two Goldman Sachs AIF schemes for a total consideration of about USD 198.50 million (around Rs. 1,693 crore at face value). The OCDs have a face value of Rs. 1 crore each, are unlisted, unsecured, redeemable, and optionally convertible. Specifically, 1,047 OCDs are being purchased from Goldman Sachs India AIF Scheme – 2 and 78 from Goldman Sachs India AIF Scheme – 1. The deal removes Goldman Sachs' debenture exposure from Biocon Biologics and brings the subsidiary closer under Biocon's direct control. Goldman Sachs does not currently hold any equity (shareholding) in Biocon Limited.
This move simplifies the capital structure of Biocon Biologics by consolidating instruments under the parent company, which could strengthen Biocon's effective control over its biologics business. For shareholders, it signals active capital management but involves a meaningful cash outflow of around USD 198.5 million from Biocon's books.
