BLS E-Services' wholly-owned subsidiary Zero Mass Private Limited (ZMPL) has signed a definitive agreement to acquire the Customer Service Points (CSPs) of SBI and HDFC Bank under the Business Correspondence (BC) segment of Sub-K Impact Solutions Ltd. on a slump sale basis for approximately Rs. 6.5 Crores in cash. The targeted business segment reported a turnover of Rs. 17.7 Crores in FY25 (up from Rs. 16.1 Cr in FY24 and Rs. 14.3 Cr in FY23), showing steady growth. The deal is subject to approvals from SBI, HDFC Bank, and other regulatory authorities, and is expected to be completed on or before September 30, 2025. The acquisition is not a related party transaction and aims to consolidate and expand BLS E-Services' business correspondence segment.
This is a small bolt-on acquisition (~Rs. 6.5 Cr) for BLS E-Services but strategically strengthens its BC/CSP business with two of India's largest banks (SBI and HDFC), potentially boosting future revenues. The deal is too small to materially impact stock price in the short term, but signals management's focus on inorganic growth in its core segment.
