Robert Bosch GmbH (the Acquirer) along with its Indian subsidiary Bosch Global Software Technologies Private Limited (PAC) has issued a Detailed Public Statement for a mandatory open offer to public shareholders of Johnson Controls-Hitachi Air Conditioning India Limited (JCHAC, NSE: JCHAC), the maker of Hitachi-branded air conditioners. The offer is for up to 70,00,355 equity shares representing 25.75% of the share capital, at a price of ₹1,762.54 per share, taking the total offer size to about ₹1,233.84 crore. The offer follows Bosch's indirect acquisition of 74.25% in JCHAC (completed on 31 July 2025) by buying 100% of UK-based JCH from Johnson Controls Inc. and Hitachi for US$ 3.375 billion. PAC has earmarked ₹1,300 crore and the Acquirer EUR 150 million to fund the offer. Bosch has stated it has no intention to delist the target company.
Public shareholders of JCHAC can tender their shares at ₹1,762.54 per share during the tendering period, which typically trades at a premium to market price and may support the stock near-term. The open offer is a regulatory requirement triggered by the change in control, and trading volumes in JCHAC shares are likely to rise during the offer window. Long-term, JCHAC will operate as a Bosch group entity in the Indian AC market.
