HSBC Securities, the manager to the open offer, has submitted the Letter of Offer dated November 3, 2025 to BSE and NSE on behalf of Robert Bosch GmbH (Acquirer) and Bosch Global Software Technologies Pvt Ltd (PAC). Bosch is making a cash open offer to acquire up to 70,00,355 equity shares (25.75% of share capital) of Johnson Controls-Hitachi Air Conditioning India Ltd (now renamed Bosch Home Comfort India Ltd) at Rs 1,762.54 per share, aggregating to about Rs 1,233.84 crore. The open offer is triggered by the underlying transaction dated July 23, 2024 under which Bosch is acquiring Hitachi's stake in the global JCH air conditioning joint venture. The tendering period will run from November 13 to November 26, 2025. The target company has also been renamed from Johnson Controls-Hitachi Air Conditioning India Ltd to Bosch Home Comfort India Ltd following board and shareholder approvals in September-October 2025.
Public shareholders of the company (now Bosch Home Comfort India Ltd) can tender their shares at Rs 1,762.54 per share during the November 13-26, 2025 tendering window. The offer price includes a 10% annual enhancement over the initial price of Rs 1,642.12 plus a Rs 51 per share reduction for dividends paid. With the company now fully under the Bosch umbrella, minority shareholders essentially have a clean exit opportunity at a defined price, though they may also choose to hold for the long-term Bosch India business.
