Brooks Lab board approved a Scheme of Arrangement to demerge its Manufacturing Business (Baddi facility) into wholly owned subsidiary Abridge Speciality. The demerged unit contributed about 96.66% of FY26 turnover (Rs. 8,287.26 lakhs). Share ratio is 1:1, no cash consideration. Resulting company will seek listing on BSE and NSE. Upon effectiveness, Abridge will be renamed Brooks Laboratories and the existing entity becomes Xuri Lifesciences. Subject to SEBI, NCLT and shareholder approvals. Listing expected in about 16 months.
Shareholders get 1 new Abridge share per Brooks Lab share held, plus existing shares. Both entities to list, subject to regulatory approvals.
