Brooks Laboratories has informed the exchanges about a Composite Scheme of Arrangement and Amalgamation involving its Joint Venture/Associate, Brooks Steriscience Limited (BSL). The scheme involves multiple steps: SSPL merging into BSL, followed by BSL, Steriscience SG (Singapore), and SPSPL merging into OneSource Specialty Pharma Limited, along with financial restructuring of OneSource. BSL is a sterile penem (Carbapenem antibiotics) manufacturer with a FY25 turnover of ₹402.35 million and net worth of ₹1,294.90 million, while OneSource had a turnover of ₹12,995.89 million and net worth of ₹59,108.37 million. Share exchange ratio is 48 BSL shares for every 10 SSPL shares, and 137 OneSource shares for every 10 BSL shares. The scheme requires NCLT, SEBI, stock exchange, and High Court of Singapore approvals.
Brooks Laboratories itself is not a party to the scheme, so its own shareholding pattern remains unchanged. However, post-merger Brooks Labs will hold 21,05,142 equity shares of the consolidated OneSource, giving it indirect exposure to a larger CDMO platform combining biologics, sterile injectables, and a European manufacturing footprint through Steriscience's Polish facility.
