Brooks Steriscience Limited (BSL), a Joint Venture/Associate of Brooks Laboratories, has decided not to pursue a proposed composite scheme of arrangement and amalgamation with Steriscience Specialties, Steriscience Pte., Strides Pharma Services, and Onesource Specialty Pharma Limited. BSL's Board of Directors met on May 14, 2026, and after deliberation determined it was not in the best interest of stakeholders to continue with the transaction in its current form. This reverses an earlier in-principle approval received from NSE and BSE by Onesource Specialty Pharma in February 2026.
The deal cancellation removes a potential corporate restructuring event that could have impacted Brooks Laboratories' financials. Shareholders lose the anticipated benefits of this consolidation, though the company avoids execution risk associated with the merger.
