Capillary Technologies' board approved on February 24, 2026, the acquisition of 100% stake in Session M Inc., a US-based cloud loyalty and engagement platform and wholly owned subsidiary of Mastercard Inc., along with its subsidiary Session M Czech Republic s.r.o. The deal will be executed through Capillary's Singapore wholly owned subsidiary Capillary Pte. Ltd. and step-down subsidiary Capillary Technologies LLC. The base consideration is USD 20 million in cash, subject to closing adjustments. Session M reported turnover of USD 50.5 million in CY2025 (down from USD 57 million in CY2023) and serves clients across North America, LATAM, and APAC in food & beverages, retail, airlines, and oil & gas. The transaction is not a related party deal, needs no government approvals, and is targeted to close within 180 days.
This acquisition strengthens Capillary's loyalty SaaS footprint in North America and LATAM, complementing its APAC business with blue-chip clients. Funded through a wholly owned subsidiary without equity dilution, the deal adds meaningful revenue scale (USD 50.5M turnover) at a reasonable valuation (~0.4x sales), likely to be viewed positively by investors as a strategic inorganic growth move.
