Capital India Finance Limited (CIFL) has received RBI's prior written approval for the sale of its entire 100% stake in material subsidiary Capital India Home Loans Limited (CIHL) to Weaver Services Private Limited. The approval, granted on May 20, 2025, is a key regulatory milestone for the transaction originally approved by the Board on October 16, 2024, when the Share Purchase Agreement was executed. The total deal is valued at INR 26,700 lakhs, with CIFL expected to receive approximately INR 26,652.71 lakhs (subject to taxes). In FY24, CIHL contributed 9.75% of consolidated revenue and 23.33% of consolidated net worth, making it a significant business unit. Weaver Services is an unrelated third-party acquirer with no promoter group connection.
The RBI clearance removes a major regulatory hurdle and brings the deal closer to closing, which could unlock roughly INR 267 crores of cash for CIFL's balance sheet. Shareholders should expect a meaningful shift in the company's financial profile post-completion, as a substantial subsidiary contributing nearly a quarter of net worth will exit the consolidated books.
