The NCLT Ahmedabad Bench has sanctioned a Composite Scheme of Arrangement involving three companies: Wim Plast Limited (WPL), Cello Consumer Products Private Limited (CCPPL), and Cello World Limited (CWL). The scheme involves two key steps - first, a demerger where WPL transfers its Demerged Undertaking to CCPPL (a wholly-owned subsidiary of CWL), and second, the amalgamation of the remaining WPL business into CWL. CWL will issue equity shares to WPL shareholders (excluding shares already held by CWL) as consideration. The appointed date is April 1, 2025. The scheme aims to consolidate two listed entities into one, achieve operational synergies, and streamline regulatory compliance. BSE and NSE had earlier provided no-objection letters for the scheme.
For Cello World shareholders, this consolidation brings operational efficiencies by merging WPL into CWL. WPL shareholders will receive CWL shares as consideration. The scheme reduces the number of listed entities in the group, potentially simplifying shareholder structure and improving operational coordination.
