On the reaction day the stock moved 1.3 pts less than Nifty Microcap 250 and 3.0 pts less than its Houseware peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
NCLT Ahmedabad Bench has sanctioned a Composite Scheme of Arrangement involving Cello World Ltd (listed on BSE & NSE), Wim Plast Ltd (WPL, listed on BSE), and Cello Consumer Products Private Ltd (unlisted). The scheme comprises two parts: (1) Demerger of WPL's 'Demerged Undertaking' into CCPPL on going concern basis, and (2) Amalgamation of remaining WPL into Cello World. Cello World will issue equity shares to WPL shareholders (excluding shares already held by Cello World) as consideration. The appointed date is April 1, 2025. BSE and NSE had given their no-objection letters in July 2025. The scheme aims to consolidate two listed entities into one and achieve operational synergies.
Shareholders of Wim Plast Limited will receive Cello World shares as per the share exchange ratio approved by NCLT. This merges two listed entities into one, simplifying the corporate structure and potentially creating value through combined operations and reduced compliance costs.
