Centrum Capital has completed the transfer of its Merchant Banking Division to its subsidiary, Centrum Broking Limited (CBL), through a slump sale as a going concern. The Business Transfer Agreement (BTA), originally disclosed on January 30, 2026, has now become effective. SEBI has formally approved the surrender of Centrum Capital's Certificate of Registration as a Merchant Banker under the SEBI (Merchant Bankers) Regulations, 1992. The CFO, Shailendra Apte, signed the intimation dated March 20, 2026. As a result, Centrum Capital will no longer operate as a Merchant Banker, with that activity now housed entirely within Centrum Broking Limited.
This is an internal restructuring within the Centrum group — the Merchant Banking business moves to a subsidiary rather than to an outside party, so shareholder value remains within the group but the parent company's standalone business scope narrows. Short-term impact on the stock price is likely limited, though it simplifies the regulatory and operational structure of the group.
