Subsidiary inks strategic deal with Swiss firm Geneus Chem AG for HALS products

Wholly owned subsidiary Clean-Fino Chem has signed definitive agreements with Swiss start-up Geneus Chem AG (incorporated 2022, not at significant scale yet) for a long-term manufacturing collaboration on advanced HALS (Hindered Amine Light Stabilizers) products on a worldwide exclusive basis. Manufacturing will happen in India; sales will be domestic and international. GC will issue share warrants to the subsidiary, exercisable within four years, entitling it to acquire 25 percent of GC on a fully diluted basis at a nominal price. No cash consideration is payable upfront for the warrants. The deal is not a related party transaction and needs no regulatory approvals.
Strengthens specialty chemicals portfolio with exclusive HALS manufacturing rights; minimal upfront cost since warrants carry no subscription price, but future equity exposure to a Swiss start-up.
