CMS Info Systems has completed the acquisition of an additional 25,639 Compulsorily Convertible Preference Shares (CCPS) of ₹100 each in Securens Systems Private Limited at ₹158.41 per share, all in cash. With this, CMS now holds 100% of Securens on a fully diluted basis, making it a wholly owned subsidiary. Securens is an AIoT-based remote monitoring solutions company with FY25 revenue of ₹765.5 million, and its revenues have been broadly flat over the last three years (₹813.7M in FY23, ₹772.1M in FY24). The acquisition strengthens CMS's HAWKAI Vision AI business, with management stating the combined entity will be 2X the size of its closest competitor in the BFSI sector. The deal is not a related party transaction and was done at arm's length, with no regulatory approvals required.
This is a bolt-on acquisition that completes CMS's full ownership of Securens, strengthening its AI-driven surveillance and Vision AI capabilities. For shareholders, it expands CMS's presence in the growing AIoT remote monitoring space, though the relatively flat revenue trajectory of Securens means the value will depend on synergies and cross-selling with HAWKAI rather than immediate top-line boost.
