On the reaction day the stock moved 4.4 pts less than Nifty Midcap 150 and 4.1 pts less than its Industrial Manufacturing peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
BSE and NSE imposed fines of Rs. 12,66,140 each on Cochin Shipyard for not meeting SEBI LODR norms on board composition and key committees during the April-June 2025 quarter. The shortfall was caused by delayed appointment of independent directors by the Government of India. One independent director, Dr. Seema Suri, was appointed in May 2025 and five more are still awaited. NSE has already waived the fine, while BSE reply is pending.
Minor penalty largely resolved. No material impact on operations; reflects PSU governance dependency on government appointments rather than company negligence.
