Coforge has received approval from the Reserve Bank of India for Overseas Direct Investment exceeding USD 1 Billion under FEMA rules, in relation to its ongoing acquisition of Encora. This is another key regulatory milestone for the deal originally announced on December 26, 2025. Earlier approvals already secured include US HSR antitrust clearance, shareholder approval via postal ballot, and competition approvals in jurisdictions like Australia. A few more regulatory approvals in other jurisdictions are still in advanced stages of processing, and the company will update exchanges once received.
This is a positive update for shareholders as the Encora deal moves closer to completion. Securing RBI clearance for over USD 1 Billion overseas investment removes a significant regulatory hurdle, though the deal is not yet fully closed pending remaining approvals.
