CAMS has received a no objection letter from the Reserve Bank of India to transfer its online payment aggregator business to CAMS Payment Services Private Limited (CAMSPAY), its wholly owned subsidiary. The transfer is subject to compliance with certain RBI conditions, including issuing a public notice at least 15 days before the change of shareholding. After the transfer is completed, the Certificate of Authorisation held by CAMS for payment aggregation will be voluntarily surrendered to the RBI. The move is essentially an internal restructuring within the CAMS group, as CAMSPAY is fully owned by the parent company.
Since CAMSPAY is a 100% subsidiary, the transfer is an internal reorganization with no change in ultimate ownership, so consolidated financials should remain largely unaffected. The move may help ring-fence the regulated payments business under a separate entity, but short-term stock impact is expected to be minimal as no external party is involved.
