CAMS's wholly owned subsidiary, CAMS Investor Services Private Limited (CAMS KRA), will acquire the KYC Registration Agency (KRA) business from NSE Data & Analytics Limited (NSEDAL) through a Business Transfer Agreement as a going concern via slump sale. The deal is valued at Rs. 700 lakhs (Rs. 7 crore) in cash, with no share swap involved. NSEDAL's KRA business has around 13 lakh KYC records and reported revenue of Rs. 276 lakhs in FY25 with a loss of Rs. 259 lakhs. CAMS KRA, already the second-largest licensed KRA in India, expects the acquisition to boost its investor data base and increase revenues and profitability. The transaction is subject to SEBI approval and is expected to complete within 180 days.
This is a strategic, bolt-on acquisition that strengthens CAMS KRA's market position by adding 13 lakh KYC records to its existing base. The acquired business is currently loss-making, so near-term margin contribution may be limited, but the long-term value lies in scale, cross-selling opportunities, and consolidation of the KRA industry.
